OFFICIAL RULES

OPEN ONLY TO LEGAL RESIDENTS
OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA (“U.S.”)
WHO ARE 18 YEARS OF AGE OR OLDER.

1.    ELIGIBILITY:  NO PURCHASE NECESSARY TO ENTER OR CLAIM PRIZE.  PURCHASE WILL NOT IMPROVE CHANCES OF WINNING.  The Success Rice “Cooking Intervention” Contest (“Contest”) is open to legal residents of the 50 United States and the District of Columbia (“U.S.”) who are 18 years of age or older at time of entry.  Employees, officers and directors of Riviana Foods Inc., (the “Sponsor”), Barkley Evergreen & Partners (the “Administrator”), their respective parents, subsidiaries, affiliates, advertising and promotion agencies, webmasters/suppliers and members of the immediate families (spouse, children, siblings, parents) and persons living in the same household (whether or not related) of such employees, officers and directors are not eligible.  Void where prohibited.

2.    PROGRAM DESCRIPTION:  The Contest has been established to select three individuals to receive a Cooking Intervention from Aviva Goldfarb.  If you are, or know, an individual that needs some help in the kitchen, you may submit an entry for yourself or that individual for a chance to receive a Cooking Intervention from Aviva Goldfarb.

3.    TO ENTER CONTEST:

•    Review the Official Rules page at www.SuccessRice.com/CookingIntervention
•    Visit www.SuccessRice.com (“Web site”) beginning 12:00 am Eastern Time (“ET”) on March 15, 2010 through 11:59 pm ET on May 15, 2010 and follow the online directions to access the official entry form.
•    Provide all the information required, including your full name, complete address, email address, daytime telephone number, date of birth, and, if applicable, the full name, complete address, email address, daytime telephone number, and date of birth of the individual you are nominating.
•    Write a statement, in 2500 characters or less, telling why you, or the individual you are nominating, needs help in the kitchen

Entry materials must be received by Administrator’s server by 11:59 pm ET on May 15, 2010.  You may enter as often as you wish, but each entry must be different.

Once submitted, your entry may not be changed, altered or modified.  Once submitted, your entry becomes the sole property of Sponsor and will not be returned.  By submitting an entry, Nominator (and Nominator’s parent/legal guardian if Nominator is a minor) gives permission to Sponsor to post Nominator’s entry and name on the World Wide Web and to otherwise use Nominator’s entry and name in accordance with the requirements of this Contest and the advertising, promotion, and publicity of the Contest, and otherwise, as stated in these Official Rules (as solely determined by Sponsor).  Nominator (and Nominator’s parent/legal guardian if Nominator is a minor) further warrants and represents: a) that Nominator’s entry does not violate any law or regulation, b) that Nominator’s entry does not violate or infringe any right of any third party, including, but not limited to, intellectual property rights, such as, but not limited to, rights of copyright, trademark or patent, or rights of publicity and/or privacy, and are not defamatory, slanderous or libelous nor portray any person in a false light, c) that Nominator’s entry is Nominator’s own original work and that he/she owns or controls all right, title and interest in the entry, including, but not limited to, copyright rights therein, d) that the entry has not been accepted for previous publication or submitted in any other competition or contest, and e) that Nominator has followed these Official Rules.

4.    JUDGING/WINNER DETERMINATION:

Phase I

Entries will be judged by a panel of judges selected by and from Sponsor, and judging will be based on the following criteria with equal weight given to each criterion to select the Top 20 Finalists:  1) uniqueness of story/situation described in the entry; 2) appeal of the story/situation described in the entry; 3) appropriateness of the story/situation described in the entry to receive a Cooking Intervention from Aviva Goldfarb.

In case of a tie, the entry with the highest score in the “appeal of the story/situation described in the entry” criterion will be declared the tie winner.  If a tie continues, the entry with the highest score in the “appropriateness of the story/situation described in the entry to receive a Cooking Intervention from Aviva Goldfarb” criterion will be declared the tie winner.  Should tie continue a new judge will be selected and re-judge the tied entries on all of the original criteria.

Phase II

The Top 20 Nominees will be notified by phone, email, mail, or overnight mail at Sponsor’s sole discretion some time during the month of May 2010.  Finalist Nominees will have the opportunity to compete for one of the three Grand Prizes.  Each Finalist Nominee will be asked to submit additional information regarding his or her situation as initially described in his or her nomination entry.  Finalist Nominees may also be asked to provide photos and other information to be determined by Sponsor.  Failure to provide all requested materials by the deadline provided by Sponsor will result in forfeiture of status as a Finalist Nominee and disqualification for a chance to win a Grand Prize.  All submitted materials will then be reviewed by a panel of judges selected by and from Sponsor.  Judging will be based on the following criteria with equal weight given to each criterion:  1) uniqueness of the situation; 2) appeal of the situation and Finalist Nominee; 3) appropriateness of the situation and Finalist Nominee; 4) Finalist Nominee’s sincerity; and 5) Finalist Nominee’s ability to effectively and clearly communicate his/her thoughts and ideas.

The Top 3 winners will be notified by phone, email, mail, or overnight mail at Sponsor’s sole discretion on or about 6/15/10.

5.    PRIZES:   A total of 3 Grand Prizes will be awarded:  The prize is a “Cooking Intervention” which consists of a 2-4 hour visit from Aviva Goldfarb at winner’s home on a date and time specified by Sponsor, anticipated to be in late June or early July 2010; and up to $500 in food and cooking tools as determined by Sponsor.  A crew of Sponsor’s representatives including photographers will be arriving at winner’s home prior to Aviva’s visit in order to prepare the home to document the Success Rice “Cooking Intervention” for potential later use by Sponsor.  Approximate retail value of prize is $1,700.  Any difference between the actual value and stated value will not be awarded.  If any portion of prize is cancelled or postponed, the remaining portion of the prize will be awarded as complete and final and no compensation will be offered. 

Winners will be required to agree to, complete and execute the Sponsor’s waivers/releases, contracts and other documents, and failure of winner to complete and execute same (and such other documents as may be required by Sponsor), in a timely manner as determined by Sponsor, may cause disqualification.  Winner’s appearance as documented in the Cooking Intervention is subject to the requirements and approval of the Sponsor and/or producer, which may be granted or withheld in their sole discretion.  Appearance may not actually appear in the final version of the Cooking Intervention promotional materials. Winners will have no right of review, notice, or approval of the content (including but not limited to editing/modification/alteration/change whether used alone, together or with other works, acts of content/and/or used in distorted, illusory or composite form) or any broadcast.

6.    GENERAL:  All taxes on prizes and expenses relating to acceptance and use of prizes and not specified are the sole responsibility of winners.  By participating, participants (and participant’s parent/legal guardian if participant is a minor in his/her jurisdiction of residence) agree a) to these rules and decisions of Sponsor and Administrator which shall be final and binding in all respects and in all matters relating to this Contest; b) to the fullest extent permitted by law, to release, discharge, indemnify and agree to hold harmless Sponsor, Administrator, and all of their respective advertising and promotion agencies and all of their respective parents, affiliates, subsidiaries, agencies, agents and representatives and all of their respective employees, officers and directors (individually and collectively “Releasees”) from any liability or responsibility whatsoever for any claims, costs, injuries, losses or damages (whether due to negligence or otherwise) of any kind (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss of or destruction of property, or breach or failure of any representation, warranty or obligation contained in these Official Rules, or violation of intellectual property rights, such as, but not limited to copyright, trademark or patent, or rights of publicity or privacy, defamation, slander or libel, or portrayal in a false light), arising out of or in connection with the Contest or from their acceptance, possession, use or misuse of any prize, or participation in the Contest or any Contest related activity; c), to grant the Sponsor (notwithstanding anything else in these Rules) a license to reproduce and use all entry materials for any purpose whatsoever without compensation or further permission, including but not limited to a non-exclusive, irrevocable and perpetual, royalty-free, worldwide right, in all media (now known or later developed) to use, publish, or otherwise exploit any entry materials (whether altered, changed, modified, edited, used alone, together or with other works and/or used in distorted, illusory or composite form, with or without comment or commentary, as solely determined by Sponsor) for any trade, advertising, publicity and promotional purpose without notice, review or approval; and d) if the winner or nominator of a winner, to the announcement/use of name, entry materials statements, voice, image and/or likeness, at any time or times, for trade, advertising, publicity and promotional purposes without compensation (unless prohibited by law) by Sponsor and those acting pursuant to Sponsor’s direction, in all media now known or hereafter discovered, worldwide, including but not limited to the World Wide Web, without notice, review or approval and to execute specific consent to such use if asked to do so.  In no event will Releasees be responsible or liable for any damages or losses of any kind, whether direct, indirect, incidental, consequential, punitive or other damages.  Winners (and winner’s parent/legal guardian if entrant is a minor in his/her jurisdiction of residence) will be required to complete an Affidavit of Eligibility, a Liability and (where legal) a Publicity Release, which must be returned within time period specified by Sponsor or an alternate winner will be selected.  If documents are returned as non-deliverable, or not returned timely, or if a winner is found to be ineligible or not in compliance with these Official Rules, winner will be disqualified and an alternate winner selected.  Releasees are not responsible and shall not be liable for: a) telephone, electronic, hardware or software program, network, Internet or computer malfunction, technical errors or any human error which may occur in the processing of entries, or the incorrect or inaccurate capture of entry or other information, or the failure to capture, or loss of, any such information; b) failed, incomplete, garbled, corrupted or delayed computer transmissions; c) lost, late, misdirected, mutilated, incomplete, illegible entries or postage-due mail; or d) any condition caused by events that may cause the Contest to be disrupted or corrupted.  Sponsor reserves the right in its sole discretion to cancel or suspend the Contest or any portion thereof should computer hardware or software malfunctions (such as but not limited to virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures) or any other causes corrupt the administration, security or proper conduct of the Contest, and select the winners from entry materials received prior to the action taken or in such other manner as deemed fair and appropriate by Sponsor.  Entry materials will be deemed a Work Made For Hire under the Copyright laws of the United States, but if participant’s entry materials cannot be so deemed, then each participant (and participant’s parent/legal guardian if participant is a minor) agrees to irrevocably sell, assign and transfer to Sponsor all of his/her rights, title and interest in and to the entry materials, including all, but not limited to, copyrights (including but not limited to renewal, derivative rights), in the United States and worldwide, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged.  Participant (and participant’s parent/legal guardian, if participant is a minor) hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that the winner or winner’s nominator may now or later have in the entry materials.  Sponsor reserves the right to alter, change or modify any of the winning entry materials, in its sole discretion.  Upon the request of Sponsor, each participant (and participant’s parent/legal guardian, if participant is a minor) shall execute and deliver such additional instrument of sale, transfer and assignment, in a form deemed necessary and as may be solely determined by Sponsor.  Sponsor’s failure to request such an assignment shall not be deemed a waiver of the right to request the assignment at any time, and winner agrees to comply with any such request.

7.    ADDITIONAL CONDITIONS:  Releasees are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Contest and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or technical error or unauthorized access to the Web site.  Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or Web site; to be acting in violation of the Official Rules; to be acting in violation of the terms of the Web site, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  Entry information and entry materials become property of Sponsor.  No correspondence about the Contest will be entered into nor will entry materials be acknowledged or returned.  No prize transfer or cash redemption or substitution will be made, but Sponsor reserves the right to substitute prize with prize of equal or greater value should prize become unavailable.

IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF INTERNET SITES www.SuccessRice.com or www.SuccessRice.com/CookingIntervention OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITES.  WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

8.    PRIVACY:  Information submitted with an entry is subject to the Privacy Policy stated on the Web site.

9.    ARBITRATION/CHOICE OF LAW:  Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prize awarded, or the determination of the winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective, and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard for conflicts of law doctrine, and all proceedings shall take place in the County of Harris County, State of Texas.
